Elizabeth Miller
- Professor Emeritus and Adjunct Professor of Law
Professor Miller retired from the full-time faculty in 2026 after 35 years of teaching Business Organizations, Business Planning, and related courses, as well as being instrumental in expanding and enhancing the business and transactional curriculum and extra-curricular opportunities for Baylor Law students in the business and transactional area. Before her retirement, she held the M. Stephen and Alyce A. Beard Chair in Business and Transactional Law. Since retiring as a tenured professor, she continues to teach several courses and lead numerous initiatives in the Baylor Business and Transactional Law Program.
Professor Miller is recognized as one of the foremost authorities on Texas business organizations law and is also a nationally recognized expert on the law of limited liability companies, partnerships, and other unincorporated entities. She frequently writes and speaks on topics involving corporate, partnership, and limited liability company law at continuing legal education programs in Texas and across the country.
Professor Miller has been involved in the drafting of legislation affecting Texas business organizations for many years and has served in an advisory or membership capacity on the drafting committees for numerous prototype, model, and uniform statutes and agreements relating to unincorporated business organizations. She has served on numerous statutory drafting committees and editorial boards of the American Bar Association and Uniform Laws Commission. She is the co-author of a three-volume treatise on Texas business organizations law published by Thomson Reuters/West (Vols. 19, 20 and 20A, Business Organizations, Texas Practice Series) and O’Connor’s Texas Business Organizations Handbook, published by Thomson Reuters as Volume 13 of the Texas Practice Series.
Professor Miller has held leadership positions in the Business Law Section of the State Bar of Texas as well as the American Bar Association Business Law Section. She has served as Chair of the LLCs, Partnerships and Unincorporated Entities Committee of the ABA Business Law Section as well as Chair of the Business Law Section of the State Bar of Texas and Chair of the Texas Partnership and Limited Liability Company Law Committee. She received the 2011 Jean Allard "Glass Cutter" Award presented by the Business Law Section of the American Bar Association, the 2013 Martin I. Lubaroff Award presented by the LLCs, Partnerships and Unincorporated Entities Committee of the ABA Business Law Section, and the W. Page Keeton Award for Excellence in Continuing Legal Education presented by the University of Texas School of Law. Professor Miller is an elected member of the American Law Institute, the American Bar Foundation, and the Texas Bar Foundation.
Professor Miller was in private practice for six years before she returned to Baylor Law to join the faculty in 1991. While in practice, she represented banks and bank holding companies, as well as other privately and publicly held companies, in a variety of matters, including formations, reorganizations, and acquisitions. She received her J.D. from Baylor Law, summa cum laude and ranked first in her class. Upon graduation, she received the highest score in the State of Texas on the July 1985 bar examination. While at Baylor Law, she was Editor in Chief of the Baylor Law Review and the recipient of numerous academic awards. She received her B.A. from Baylor University in 1982, summa cum laude.
Professor Miller enjoys spending time with her family (which has collectively accumulated eight Baylor degrees!)—husband Gary (Baylor B.B.A. 1982), sons Thomas (Baylor B.B.A. 2011, M.S.I.S. 2013) and David (Baylor B.A. 2015, University of Iowa College of Law J.D. 2018), daughter-in-law Emily (Baylor B.S.Ed. 2014, M.S.W. 2016) and two young grandchildren.
